ANALYSIS OF THE VOLATILITY OF RETURNS IN MERGERS & ACQUISITIONS PROCESSES OF BRAZILIAN COMPANIES: A STUDY WITH HIGH FREQUENCY DATA

Resumo: | The paper aims to identify whether an announcement of a merger or acquisition (M&A) affects the volatility of the returns of Brazilian companies, considering 35 processes carried out between 2009 and 2017. We used intraday data (high frequency), at 15 minutes intervals, including period pre-opening and after-market of the B3 (Brasil, Bolsa, Balcão). The volatility was estimated using the GARCH and EGARCH models. We made comparisons of abnormal volatility of an M&A using the Wilcoxon test (nonparametric) in five windows, with intraday data before and after each event. We concluded that in 32 of 35 events, there was a difference between average abnormal volatility before and after the announcement, showing that the M&A processes affect returns volatility.. However, we did not find any definite positive or negative trend. In practical terms, the results obtained help companies and investors realize the impact of the announcement of M&As on the volatility of returns by changing the risk level of these processes in order to promote adjustments in expectations and guide investment decision-making. In theoretical terms, when addressing a little-researched subject in the national literature using high-frequency data, this work partially fills the extensive gap in volatility in M&A processes. |

Fueran utilizados datos intradías (alta frecuencia), a intervalos de 15 minutos, incluyendo el período previo a la apertura y el mercado posterior de B3 (Brasil, Bolsa, Balcão). La volatilidad se calculó utilizando los modelos GARCH y EGARCH. Las comparaciones de la volatilidad anormal media de una fusión y fusión se realizaron utilizando la prueba de Wilcoxon (no paramétrica) en cinco ventanas con datos intradía antes y después de cada evento. Se concluyó que, en 32 de los 35 eventos, hubo una diferencia entre la volatilidad anormal antes y después del anuncio, lo que demuestra que, posiblemente, los procesos de M&A afectan la volatilidad de los rendimientos, aunque no se encontró una tendencia positiva o negativa definida. En términos prácticos, los resultados obtenidos ayudan a las empresas e inversores a darse cuenta del impacto del anuncio de fusiones y adquisiciones en la volatilidad de los rendimientos, al cambiar el nivel de riesgo en estos procesos, a fin de promover ajustes en las expectativas y guiar la toma de decisiones de inversión. En términos teóricos, al abordar un tema poco investigado en la literatura nacional, utilizando datos de alta frecuencia, este trabajo contribuye a llenar, en parte, la gran brecha en la volatilidad en los procesos de F&A.O objetivo deste estudo é identificar se o anúncio de uma fusão ou aquisição (F&A) afeta a volatilidade dos retornos das empresas brasileiras, considerando 35 processos realizados entre 2009 e 2017. Foram utilizados dados intradiários (alta frequência), em intervalos de 15 minutos, incluindo o período de pré-abertura e o after-market da B3 (Brasil, Bolsa, Balcão). A volatilidade foi estimada utilizando os modelos GARCH e EGARCH. Foram feitas comparações da volatilidade anormal média de uma F&A via teste de Wilcoxon (não paramétrico) em cinco janelas com dados intradiários anteriores e posteriores a cada evento. Constatou-se que em 32 dos 35 eventos, houve diferença entre a volatilidade anormal média antes e depois do anúncio, mostrando que os processos de F&As afetam a volatilidade dos retornos, apesar de não ter sido constatada uma tendência definida positiva ou negativa. Em termos práticos, os resultados obtidos contribuem para que empresas e investidores percebam o impacto do anúncio de F&As na volatilidade dos retornos, ao alterar o nível do risco nesses processos, de maneira a promover ajustes nas expectativas e nortear a tomada de decisões de investimento.
