The present work reflects the rules, legal nature and essential characteristics of the Shareholder’s Agreement. It analyzes the main types of this kind of agreement and its practical utility in the life of the corporation, with the objective of harmonization the parts’ interest. The main issue is to whether or not the directors of the company can be bound to the terms of the Shareholder’s Agreement. Therefore, it studies the legality and the doctrines’ position regarding the entailing of the acts of management of the administration to what was agreed under the contract. In addition, it analyses the impacts that this kind of entailing causes on the act of the corporation and to issues of the Corporate Governance. Finally, it makes a correlation between Shareholder’s Agreement and the necessity for searching the company’s social function
