Resumo: The research is on the subject of lawful and preventive tax management to be a cause for a company´s efficient Reorganization of the Economic Activity. The study includes a brief dissertation on the legal institutes regarding Tax Planning in view of the complexity of the issue. To define and contextualize this issue, the concept of lawful tax planning and its limits, its importance for companies in the current business market scenario, also, the cases where Tax Planning is not applied will all be studied and finally the analysis of a paradigmatic case.
