Resumo: The objective of this paper is to analyze contract relationship between legal contract types and the articles of association that constitute limited liability companies, as well as their termination for breach of a related contract, departing from the rules for liquidation and winding up of a company in real estate land lot business. We will propose the enforcement of company termination for partner breach of related contract, with departure from the corporate rules for liquidation and winding up, privileging the contractual provisions signed between the parties.
