Resumo: This article analyzes the process of formation and development of cooperative interorganizational relationships for research anddevelopment of products in biotechnological organizations. Cooperation activities of two firms from the Brazilian state of Minas Gerais areanalyzed within a theoretical framework about strategic alliances and biotechnology. Findings point out to as the main reason for these organizations to cooperate their incapacity to perform certain activities. The principal control mechanism used in the relations is the formal contract and trust. Interaction problems have been solved by negotiation and dialogue instead of legal litigation. Considering the importance of the technologicaldevelopment for the organizations studied, cooperation became a strategic difference for them.

Considering the importance of the technologicaldevelopment for the organizations studied, cooperation became a strategic difference for them.Esse artigo analisa o processo de formação e desenvolvimento dos relacionamentos interorganizacionais cooperativos, que visam a pesquisa e o desenvolvimento de produtos em empresas de base biotecnológica. Partindo do referencial teórico sobre alianças estratégicas e do contexto da biotecnologia, são analisadas as atividades de cooperação de duas empresas mineiras. Os resultados obtidos evidenciam que a incapacidade de realização de determinadas atividades é o principal motivo que leva as empresas a buscarem uma aliança com outras organizações. O contrato e a confiança desenvolvidos entre os parceiros são apontados como os principais mecanismos de controle existentes nas relações. No caso das empresas analisadas, os problemas surgidos no decorrer das interações têm sido resolvidos por negociação e diálogo, em detrimento das medidas legais.
