An understanding of a formation and post-formation of strategic alliances in the information technology industry

Resumo: This study analyses the dynamic process of an Information Technology – IT firm in terms of strategic management of formation and post-formation of strategic alliances. The objective aims to understand the factors that lead IT firms do strategic alliances under formation and post-formation, including fusions and acquisitions. Interviews were conducted with executives and managers involved in the process of the joint venture formation, formation of the strategic alliance, and acquisition, post-formation time. The ex-post-facto processes of the decision factors were also studied. The results point out that the damages of the relationship of both companies may occur during the implementation stage about how commitment and opportunistic behaviors influence the conduct of a partner in a joint venture, specifically the interdependence and organizational control. The results also identified personal and business gains, concerning learning, including the adoption of new approaches, project management and business control and conduction. The results may be useful to executives and researchers of strategic management and to those who want to study deeper this area field in other marketplaces.

O presente estudo analisa o processo dinâmico de uma empresa de TI no que cerne às estratégias empresariais de formação e pós-formação de alianças estratégicas. O objetivo do trabalho visa compreender os fatores que levam empresas de TI a realizarem alianças estratégicas nos âmbitos da formação e pós-formação, incluindo fusões e aquisições. Para tanto, foi realizada uma pesquisa de campo por meio da técnica de entrevista em profundidade com executivos das empresas envolvidas no processo de formação de joint venture – JV, período de formação de aliança estratégica, e na aquisição de uma empresa pela outra, período de pós-formação. Foram também estudados os fatores decisórios ex-post-facto dos processos de aliança estratégica. A análise aponta que os danos no relacionamento entre as partes podem ocasionar durante o estágio da implementação, sobre como o comprometimento e os comportamentos oportunísticos influenciam a conduta do parceiro na JV, em especial na interdependência e no controle organizacional. Foram ainda identificados ganhos pessoais e nos negócios das controladoras no que se diz respeito ao âmbito da aprendizagem, incluindo adoção de métodos, acompanhamentos de projetos complexos e condução de negócios.
