Resumo: The goal of this paper is to analyze the case of Usinor, the most important French steel mill, which controls nearly all the steel market in France even after being privatized. Its patrimonial control was sold in a different way: a public offer of shares along with a special sale for some long term shareholders. Usinor has become more important to Brazil after buying an important part of the shares of two Brazilian steel mills recently. The paper analyzes the French privatization program, the importance of the strategical long term shareholders, who are known as noyaux durs, and the formation and later privatization of Usinor, as well as its share control.

Examina-se a experiência de combinação de uma oferta pública de ações com a venda direta para um grupo de acionistas de longo prazo. O caso abordado é o da siderúrgica francesa Usinor, que recentemente adqui-riu participação acionária relevante em duas empresas brasileiras.
