Resumo: The present study is focused on the structure of governance of civil society organizations in order to understand the role of its Boards of Directors and the key characteristics that effectively add value to the organizations´ mission and sustainability. The study is focused on the structure of governance of these organizations and provides the concept and role of each structure, scrutinizing its attributions and responsibilities, as well as analyzing how the relationship between these different spheres of power and control occurs. This work presents the origin of the Civil Social Organizations in Brazil and their evolution in time according to their causes, struggles, achievements, learnings, also taking into account the values that guide the civil society sector and its importance to the Brazilian democratic process. As the focus of this study is on the Board of Directors, it will seek to understand the dynamics of the boards´ decision making process and which are the intrinsic characteristics that motivates board members to devote time and resources to Civil Social Organizations. For the conclusion of the study, in addition to examining a vast bibliography, a qualitative research methodology took part in the research and structured interviews were done with board members, advisers and specialists from several Brazilian Civil Social Organizations. The research concluded that, despite the literature and good governance practices manuals in appointing that the main role of Board of Directors is to provide strategic direction, constant monitoring of risks and opportunities, knowledge, experiences, dedicated time and, whenever possible, the donation of financial resources, along with holding participatory and productive meetings and implementing systematic succession planning and periodic evaluations of the board members, as well as acting as guardians of the ethics, mission, vision and organizational values, only few Board members performs in accordance to these indispensable roles that add value and contribute to the sustainability and mission of the Civil Social Organizations

O trabalho mostra a origem das OSCs no Brasil e sua evolução no tempo em função de suas lutas, conquistas, aprendizados, com quais valores se orientam e qual sua importância para o processo democrático brasileiro. Como o foco do estudo são os CAs, os esforços caminharão no sentido de entender a sua dinâmica na tomada de decisões, quais suas características intrínsecas e quais as motivações que os levam a dedicar tempo e recursos para as OSCs. Para a conclusão do estudo, além do exame de vasta bibliografia, lançou-se mão de metodologia de pesquisa qualitativa, através de entrevista estruturada com conselheiros e especialistas de diversas OSCs brasileiras.
