During the last few years we could have observed a constant economic growing which made clearer the interdependency between Law and Economy. The need to assure most effectiveness to the regulation of social relations provoked some changes in our legislation. Recently, after the Civil Code of 2002, the legal system had its basic principles changed. The new principles are the social function, bona fides and probity and material equivalence between duties, which are known as the “social principles”. This paper intends to present the relation among these social principles, in order to demonstrate the review of the legislation. The chattel mortage’s institute, discussed in this paper, results from the evolution of diverse legal institutes. The origin of the chattel mortage begins in Rome with the institute named Fiducia. Subsequently, the German and British institutes, the mortage and the trust, respectively, constituted the basis of the fiduciary dealing in our legal system. With the consumption growing, the legal certainty in the private relations need to be improved, which occurred with the strengthening of the warranties offered on these relations. The strengthening of legal certainty provoked a credit facilitation, which assured the accomplished of the social function of the chattel mortage’s institute
