No entanto, sempre que a impossibilidade de cumprir as obrigações vencidas ou a manifesta superioridade do passivo face ao ativo, resulte de uma ação positiva (um facere) ou omissão (um non facere) que produza ou agrave a situação de insolvência, e a partir da qual, se demonstre a culpa dos seus titulares nos termos do artigo 186.º n. º1 do CIRE, poderemos afirmar estar diante um fenómeno de insolvência culposa.Deste modo, demonstra-se necessário começar por identificar os culpados e sujeitá-los à aplicação de um conjunto de efeitos idealizados pelo próprio legislador no artigo 189.º n. º2 do CIRE, com a finalidade de responsabilizar os afetados por esta mesma qualificação. Neste sentido, afigurar-se-á crucial conhecer quais as consequências da qualificação da insolvência como culposa na situação dos membros dos órgãos societários afetados, designadamente a inibição para a ocupação dos cargos vedados. Perante isto e atendendo à manifesta importância e utilidade prática da mencionada sanção, surge a necessidade de compreender quais as suas reais implicações no seio de uma sociedade comercial, mais especificamente nos diversos órgãos de administração e fiscalização que a compõem. Para tal, será fundamental entender exatamente qual o significado, conteúdo e amplitude do efeito jurídico em análise, nomeadamente averiguar se se trata de uma incompatibilidade legalmente estabelecida ou, se pelo contrário, configura um caso de incapacidade de exercício, possibilitando consequentemente apurar qual o seu impacto no âmbito de uma sociedade comercial e quais as consequências que daí derivam.Currently, there are several factors that directly affect the economic activity and the business fabric, which may be responsible for the increase in the number of insolvencies. However, whenever the inability to meet matured obligations or the manifest superiority of liabilities over assets results from a positive action (a facere) or omission (a non facere) which produces or aggravates the insolvency situation, and from which, the culpability of the holders of the said obligations is demonstrated in accordance with article 186.º n.º1 of the CIRE, we may affirm that we are facing a phenomenon of culpable insolvency.In this way, it is necessary to start by identifying the guilty parties and subject them to the application of a set of effects designed by the legislator itself in article 189.º n. º 2 of the CIRE, with the purpose of making those affected liable for this qualification. In this sense, it is crucial to know the consequences of the qualification of the insolvency as culpable in the situation of the members of the corporate bodies affected, namely the inhibition to occupy the prohibited positions. In view of the above and considering the obvious importance and practical utility of the above-mentioned sanction, the need to understand its real implications within a commercial company, more specifically in the different administrative and supervisory bodies of which it is composed, arises.
