Resumo: Discusses recent research on sociological and transactional models of organizational and institutional structures. The Williamson's transaction–action cost model of organizational governance (O. E. Williamson, 1995), the opportunistic model, the administrative behavior model, the task–behavior model, and a social institution model are described and evaluated with reference to work strategies, change parameters, behavioral attributes, and endogenous preferences. Mais especificamente, compara-se a economia dos custos das transacções, proposta por Williamson, com os modelos de orientação mais sociológica, uns e outros mais complementares do que antagónicos, dependendo da sua adequação do grau de equilíbrio relativo entre as pressões das envolventes organizacionais para a eficiência ou para a eficácia.
