The meat chicken chain in Paraná State is consolidated mainly in the interior part of the state where is concentrated 79% of the production. This activity contributes significantly to the geration of balance trade surplus. The present article aims discussing the distribuition of quasi-income in Paraná State meat chicken chain through analyzing the transaction cost, aiming value the incentives provided to producers and slaughterhouses to remain practicing that activity. In Paraná, the poultry production is performed through two different governance structures – integrating companies or cooperatives. It is believed that each one of them establishes different patterns of appropriation results. It was verified that the different governance structures reflects transaction particularities concerning the characteristics of its own type of organization (cooperative or non-cooperative), the innovation capacity (innovative or imitator) or market direction (just domestic, or both domestic and foreign).  The transaction particularities and the link with the other phases allow the existence, in long-term, of the quasi-income in a conflicting competition between the opportunism, on the slaughterhouse part, and the intention of remaining in the activity, on the producers part.
