CIVIL LIABILITY OF SHAREHOLDERS IN NON-ENTREPRENEURIAL COMPANIES: GENERAL OVERVIEW AND CONTROVERSIAL ASPECTS

Resumo: The subject of civil liability of shareholders in non-entrepreneurial companies is particularly relevant due to the applicability of their legal regime to other types of companies. Taking that into account, the present paper aims to present an overview of shareholders civil liabilities in non-entrepreneurial companies, commonly designated as pure non-entrepreneurial companies.  Precisely,  the  paper  aims  at  systematically  presenting  civil  liabilities  borne  by  the shareholders in accordance with Brazilian Civil Code of 2002 (CC/2002), also analyzing some polemic aspects inherent to the issue. It focuses on controversies regarding the legal possibility of limiting responsibilities of shareholders for obligations entered into by the non- entrepreneurial company, concluding that such limitation is allowed by the CC/2002. We used an exploratory approach based on primary and secondary bibliography on the theme as reference.

Com isso em mente, o presente artigo propõe-se a apresentar um panorama sobre as responsabilidades dos sócios das sociedades do tipo simples, comumente denominada simples pura. Mais especificamente, busca-se sistematizar o conjunto de responsabilidades de natureza civil atribuídas aos sócios pelo Código Civil de 2002 (CC/2002), analisando-se ainda alguns aspectos polêmicos sobre o tema. Confere-se ênfase à divergência relativa à possibilidade legal de limitação das responsabilidades dos sócios por obrigações assumidas pelas sociedades do tipo simples, concluindo-se, a partir das investigações realizadas, que a limitação é permitida pelo CC/2002.
