Governance Mechanisms and Processes of Succession: a study on the influence of the elements of corporate governance in the direction of the succession process in a family business

Resumo: The objective of this study was to analyze the way in which the development of structures and mechanisms of corporate governance influence the direction of the succession and the mediation of conflicts between the family, the property and the management in a family-owned enterprise. A revision was carried out initially about studies on family-owned enterprises, corporate governance and succession. Tangible factors were considered as alterations in the property structure, and intangible, like alterations in the dynamics of the power relationships and the sphere of influence of the family. Therefore, the empirical evidences were lifted from the method of case study, through semi-structured interviews with representatives of the Board of Directors, who were also members of the family. For the treatment of the data the technique of thematic analysis of content was used, showing that the enterprise presents a considerable advancement in the sense of implementing mechanisms of governance that contemplate the dimensions of the family, property and management of the enterprise. These are helpful in mediating the eventual conflicts of interests.Key words: Corporate governance. Succession process. Family-owned enterprises.

Family-owned enterprises.El presente estudio tiene por finalidad analizar cómo, el desarrollo de estructuras y de mecanismos de gobernanza corporativa influyen en la orientación de la sucesión y la mediación de conflictos entre la familia, la propiedad y la gestión en una empresa familiar. Inicialmente se instituyó un panorama teórico centrado en el análisis de estudios de empresas familiares, gobernanza corporativa y sucesión empresarial. Se consideraron factores tangibles, como alteraciones en la estructura de propiedad, e intangibles, como alteraciones en la dinámica de las relaciones de poder y de la esfera de influencia de la familia. Las evidencias empíricas se obtuvieron por medio del método de estudio de caso, con entrevistas semiestructuradas con miembros de la familia propietaria, representantes del Consejo de Administración de una empresa del sector textil del Estado de Minas Gerais.  Para el tratamiento de los datos se utilizó la técnica de análisis temático del contenido de las entrevistas. Los resultados indican que la empresa estudiada muestra un considerable avance en la implementación de mecanismos de gobernanza que contemplan las dimensiones de familia, de la propiedad y de la gestión, ayudando a la empresa a estructurar los futuros procesos de sucesión y también a mediar en los conflictos de interés naturalmente presentes entre los diversos stakeholders.Palabras clave: Gobernanza corporativa. Empresas familiares.O presente estudo tem por objetivo analisar a forma pela qual o desenvolvimento de estruturas e mecanismos de governança corporativa influenciam a orientação da sucessão e a mediação de conflitos entre a família, a propriedade e a gestão em uma empresa familiar. Partiu-se da construção de um panorama teórico focado na análise dos estudos sobre empresas familiares, governança e sucessão empresarial. Foram considerados fatores tangíveis, como alterações na estrutura de propriedade, e intangíveis, como alterações na dinâmica de relações de poder e da esfera de influência da família. As evidências empíricas foram levantadas a partir do método de estudo de caso, por meio de entrevistas semi-estruturadas com membros da família proprietária, representantes do Conselho de Administração de uma empresa do setor têxtil, localizada no estado de Minas Gerais. Para o tratamento dos dados, recorreu-se à técnica de análise temática do conteúdo das entrevistas e os resultados indicam que a empresa estudada apresenta um considerável avanço no sentido de implementar mecanismos de governança que contemplem as dimensões da família, da propriedade e da gestão, auxiliando a empresa a estruturar os futuros processos de sucessão, bem como a mediar os conflitos de interesses naturalmente existentes entre os diversos stakeholders envolvidos.Palavras-chave: Governança corporativa.
