This article aims to present, in an analytical way, the issues involving the extrajudicial exclusion of shareholders/partners in Limited Liability Companies, as well as the method of counting votes for such purpose. It begins with historical foreshortening, addressing the origin and development of business law in Brazil. After, it’s presented the classifications of the companies, going through the concepts of Corporate Companies, analyzing the classifications of non-personalized companies, personalized companies, Companies of people and Companies of capital. The concepts of Companies of People and Companies of Capital will be approached as a way to situate the scope of this study, analyzing the social characteristics of Affectio Societatis and the rights and duties of the partners while belonging to a limited company as membership. The concept of Limited Liability Company in its general aspects will be treated in order to substantiate and base the objective and approach of this work, deepening the relationship issues between partners and causes of exclusion. With a view to deepening the issue of partner exclusion, the study broadly presents the general hypotheses of partner exclusion, briefly addressing the hypotheses of judicial exclusion and paying close attention to the hypotheses and implications of extrajudicial exclusion of members in limited partnerships. Together, the hypotheses that problematize the counting of necessary votes for the extrajudicial exclusion of members are presented. This work was developed based on extensive doctrinal research, and, in the absence of firm standards on this issue, were also considered judged related to the subject
