Resumo: The aim of this monograph was to study the transfer of limited liability company quotas due to the death of a partner or following the dissolution of quota holder’s marriage. The legal rules applicable to these situations as well as the possibility of ruling the transfer of quotas in such cases through legal instruments based on solutions proposed by partners have also been analyzed. With the purpose of better understanding the transfer of limited liability company quotas due to the death of a partner or following the dissolution of quota holder’s marriage, we have also studied the basic features of the marital property systems provided for in the Brazilian Civil Code as well as some of the Inheritance law rules applicable to such situations. Based on doctrine and also previous court decisions, not only does this monograph present possible answers to some questions and controversies regarding the transfer of quotas, but it also presents alternatives which can be used by quota holders to regulate the matter, without exhausting the subject

Foram examinadas quais regras jurídicas devem ser aplicadas a tais situações, bem como avaliou-se a possibilidade de disciplina da transmissão das quotas nestes casos por meio de instrumentos jurídicos que permitam aos sócios elaborar soluções mais adequadas à realidade da empresa. Com o intuito de compreender melhor a cessão das quotas sociais por morte de sócio e pela dissolução de sociedade conjugal, também foram analisadas as características gerais dos regimes de bens previstos no Código Civil, bem como algumas das regras de Direito das Sucessões incidentes em tais casos.
