Resumo: The present work will focus on the system of private enforcement from a sociological narrative, which is an effective instrument of disruption of the contemporary patrimonial structure observed in publicly traded corporations. In this sense, the article is structured, through the analysis of the organization of power in joint stock companies - derived from institutionalism and patrimonialism, to enter, thereafter, into the analysis of the institutional framework created by the Corporate Law regarding the relevant role given to the controlling shareholder. Hence, we sought to analyze the private mechanisms of enforcement, inherent to the Brazilian reality, identifying the main causes of its fragility, tracing, in the end, possible paths to its improvement. As will be clear at the end, the construction of a strong private system which will carry out the duties of the controlling shareholder and administrators, is fundamental for the development of the Brazilian capital market, disrupting with its patrimonial power organization as it is seen

Nesse sentido, o artigo se estrutura, analisando, inicialmente, a organização de poder na sociedade anônima – derivada do institucionalismo e patrimonialismo, para adentrar-se na análise do arcabouço institucional criado pela Lei das S.A. no que diz respeito ao relevante papel conferido ao acionista controlador. Daí, buscou-se analisar os mecanismos privados de enforcement, inerentes a realidade brasileira, identificando as principais causas de fragilidade deste, traçando, ao final, possíveis caminhos ao seu aprimoramento.
