Esta proteção aumenta a confiança dos investidores permitindo a estabilidade dos respetivos mercados. A DMIF II introduziu nos ordenamentos jurídicos dos Estados-membros o conceito de consultoria para investimento independente. No entanto, o estudo deste novo tipo de consultoria tem sido realizado de forma superficial e genérica, focando apenas nas questões da informação e da remuneração. Urge, com a mudança do paradigma da política monetária e económica, com o assumir dos mercados financeiros um papel mais central na economia global, um estudo mais aprofundado do normativo legal apresentado pela DMIF II de forma a estabelecer os limites de competências e responsabilidades por parte de cada um dos stakeholders do mercado financeiro. A DMIF II foi desenvolvida após a crise financeira global de 2007 numa tentativa de suplantar as deficiências no funcionamento e na transparência dos mercados financeiros ao alterar o paradigma regulatório e tentar, assim, evitar uma nova crise de dimensões globais como a que sucedeu nos princípios deste século. Esta dissertação contribuí para a anterior questão, ao abordar as insuficiências da consultoria “tradicional” no que toca à proteção do investidor e identifica potenciais conflitos de interesses. Em simultâneo, tenta responder ao quesito sobre se a consultoria para investimento independente é suficiente para colmatar as faltas da anterior consultoria. Com a presente dissertação pretende-se inserir no pensamento jurídico novas questões que permitam antever consequências da consultoria independente no ordenamento jurídico, em matéria de conflitos de interesses e entender se a sua aplicação aumenta a proteção dos investidores, através da prevenção do surgimento de novos conflitos.Investor protection is one of the primary objectives of financial market law. This protection increases investor’s confidence by allowing market stability.MiFID II introduced in the Member States' legal systems the concept of independent investment advice. However, the study of this new type of consultancy has been made in a superficial and generic way, with focus at the information and remuneration issues. With the change of the monetary and economic policy paradigm, where financial markets plays a more central role in the global economy, there is a need to deepen the study of the legal norms presented by MiFID II in order to establish the limits of competences and responsibilities on the part of each one of the financial market’s stakeholders. MiFID II was developed following the 2007 global financial crisis in an attempt to overcome deficiencies in the functioning and transparency of financial markets by changing the regulatory paradigm and thus to try to avoid a new crisis of global dimensions such as that which occurred in the century.This dissertation contributes to the previous issue by addressing the shortcomings of the "traditional" consultancy regarding investor protection and identifies potential conflicts of interest.
