GOOD CORPORATE GOVERNANCE IN MICRO AND SMALL BUSINESS TAKES INTERNATIONALISATION?

Resumo: In small and medium enterprises, the ownership structure is formed by few shareholders, which makes it more difficult to investors and stakeholders to evaluate the of the corporate governance quality. This study presents a novel perspective to aid to this problem: we use Gubitta and Gianechini’s (2002) model, that classifies SMEs’ corporate governance into open or closed categories, according to the level in which independent members (such as boards of directors, professional managers or management consultants) support stakeholders in decision making. We investigate the relationship between governance and SME’s internationalization. This is an important effect of governance, since many SMEs in Brazil suffer great deal of pressure from global players such as China and India. We collected quantitative data with 41 Brazilian SMEs. Results showed that companies with a more open corporate governance system are more proactive in regards to internationalization than the ones with closed governance systems.

Este estudio presenta una perspectiva aún poco utilizado para este propósito: utilizando el modelo Gubita y Gianechini (2002), la gobernabilidad de estas empresas se pueden clasificar en abierto o cerrado, dependiendo del grado en el que hay miembros independientes (directores, gerentes profesionalizadas consultores) socios de apoyo en la toma de decisiones. Aquí está investigando la relación entre la gobernabilidad y la internacionalización de las PYME. Este es un hecho importante a considerar, ya que muchas pequeñas y medianas empresas en Brasil han estado bajo fuerte presión de los principales actores, como China e India. se realizó una encuesta de 41 MYPE brasileños. Los resultados mostraron que las empresas con gobierno abierto son más proactiva respecto a la internacionalización de los que se cerró la gobernabilidad.Em pequenas e médias empresas, a estrutura de propriedade concentrada em poucos sócios dificulta a análise da qualidade da governança corporativa por parte de investidores e stakeholders. Este estudo apresenta uma perspectiva ainda pouco utilizada para este fim: utilizando-se o modelo de Gubita e Gianechini (2002), a governança dessas empresas pode ser classificada em aberta ou fechada, conforme o grau em que há membros independentes (conselheiros, gestores profissionalizados, consultores) que apóiam os sócios na tomada de decisões. Foi feito um levantamento com 41 MPEs brasileiras.
