Resumo: This purpose of this study is to analyse the discipline of several modalities of crowdfunding in Brazil through an exploratory and applied qualitative research work based in a bibliographic review and legislative analysis under the logic-deductive method. It can be verified that the great difficulty faced by those agents that wish to make use of this modality of funding is the absence of clear and precise rules for this matter and the existence of only two specific regulations over this theme: one law that concerns the investment-based crowdfunding, edited in July 2017 and another one that addresses the donation-based crowdfunding for the financing of electoral campaigns, edited in October 2017. Therefore, there is a need to search in this sparse legislation – mainly in the Civil Code – for rules to be applied in contracts entered by and between investors, platforms and project developers which have been the reason of juridical uncertainty. In effect, this article attempts to identify the discipline incident in the diverse modalities of crowdfunding and explains the rights and duties of those involved in this transaction.

Como se verá, la gran dificultad enfrentada por los agentes que desean valerse de esta modalidad de financiación es la ausencia de reglas claras y precisas que disciplinen la materia, ya que hay sólo dos regulaciones específicas sobre el tema: una relativa al investment-based crowdfunding , editada en julio de 2017, y otra concerniente a la donation-based crowdfunding para financiamiento de campañas electorales, editada en octubre de 2017. Por esa razón, se hace necesario buscar en la legislación – sobre todo, en el Código Civil - las reglas aplicables a los contratos celebrados entre inversores, plataformas y desarrolladores del proyecto, lo que ha generado cierta inseguridad jurídica. Este artículo se propone, en efecto, identificar la disciplina incidente en las diversas modalidades de crowdfunding, aclarando los derechos y los deberes que tocan a cada uno de los agentes involucrados en la operación.Este estudo pretende analisar a disciplina das diversas modalidades de crowdfunding utilizadas no Brasil, a partir de pesquisa qualitativa, aplicada e exploratória, com base em revisão bibliográfica e análise legislativa, por meio do método lógico-dedutivo. Como se verá, a grande dificuldade enfrentada pelos agentes que desejam se valer dessa modalidade de financiamento é a ausência de regras claras e precisas que disciplinem a matéria, uma vez que há apenas duas regulamentações específicas sobre o tema: uma relativa ao investment-based crowdfunding, editada em julho de 2017, e outra concernente ao donation-based crowdfunding para financiamento de campanhas eleitorais, editada em outubro de 2017. Por essa razão, faz-se necessário buscar na legislação esparsa – sobretudo, no Código Civil – as regras aplicáveis aos contratos celebrados entre investidores, plataformas e desenvolvedores do projeto, o que tem gerado certa insegurança jurídica.
