Resumo: The present work was developed in a small family company of the clothing sector, in the city of Santa Maria, aiming the structuring of a model of governance that could aid in succession. The specific objectives were to find the difficulties of professionalization, reasons that trigger the succession and the characteristics of the family business. A case study was used as a technique, where the data were found through 4 semi-structured interviews applied to the current manager and for the probable successor, where 100 questions were answered, involving the themes of finance marketing, people management and succession. It was found that the company does not have a well-defined succession program, not even the founder thinks about retirement, however, the first daughter on the occasion took over a branch of the store, being treated by the founder as the successor. This fact does not constitute succession, since an exchange of command did not take place effectively, constituting itself an interesting strategy of preparation of the successor, to later take over the business, although this strategy was implemented at random. The governance model was structured with family council and administration with their due functions and responsibilities, considering the characteristics of this company, in the future it may bring benefits both to assist the succession and to improve the company's performance in the market.

Os objetivos específicos foram encontrar as dificuldades de profissionalização, motivos que desencadeiam a sucessão e as características da empresa familiar, para tal foi utilizado como técnica um estudo de caso, onde os dados foram encontrados através de 4 entrevistas semiestruturadas aplicadas a atual gestora e para a provável sucessora, onde foram respondidas 100 questões, envolvendo os temas: finanças marketing, gestão de pessoas e sucessão. Constatou-se que a empresa não possui um programa de sucessão bem definido, nem mesmo a fundadora pensa na aposentadoria, no entanto, a primeira filha por ocasião da necessidade assumiu uma filial da loja, sendo tratada pela fundadora como a sucessora. Este fato não configura sucessão, pois não aconteceu efetivamente uma troca de comando, constituindo-se se uma estratégia interessante de preparação do sucessor, para mais adiante assumir o negócio, embora esta estratégia tenha sido implementada ao acaso.
