Pacta Sunt Servanda: Rebus Sic Stantibus Clause and The Balance of Contractual Relations Nowadays

Resumo: | The intention is to demonstrate to the parts the effective maintenance of contractual balance, even when the contract spans a long period of time. One of the techniques used to achieve these objectives is the application of revising and exonerating clauses of responsibility, that enable the contracting parts reassess the obligations contracted and their conditions for its execution during the occurrence of facts that change substantially the initial circumstances of the contract, altering its balance in such a way that its compliance becomes impossible or extremely expensive. This study has as object the secular clause of the principle pacta sunt servanda and leads to its practical structuring of contracts, making its study incontestably important and complex. It is sought to trace a profile of this clause and the importance of brief appointments on the clause rebus sic stantibus, the unpredictability theory and the other juridical instruments that were used in its foundation, demonstrating its relevance for the maintenance of balance in contractual relations. Thus, in a first moment it will be developed a study of the contract informing principles, followed by the analysis of its conformation with the unpredictability theory and the clause rebus sic stantibus, precursory to exonerating of responsibility clauses. Finishing with the contract’s informing principles such as pacta sunt servanda and the understanding of the real use of this clause in the preservation of balance in contracts. |

Una de las técnicas utilizadas para obtenerse éxito es la aplicación de cláusulas que permitan revisión y exoneración de responsabilidad, que posibilita a las partes contratantes, hacer nuevas evaluaciones acerca de las obligaciones contraídas y sus condiciones de ejecución, debido a la ocurrencia de hechos que puedan modificar, sustancialmente, las circunstancias iniciales del contracto, cambiando su equilibrio de forma que su cumplimiento se vuelva imposible o extremamente oneroso. El estudio tiene como objeto la cláusula secular del principio del pacta sunt Servanda y llega hasta su estructuración práctica del contracto, volviendo su estudio, de forma incontestable, importante y complejo. Se pretende puntear el perfil de esta cláusula y la importancia de breves bosquejos sobre la cláusula rebus sic stantibus, la teoría de la imprevisión y los demás instrumentos jurídicos que le sirven de base, demostrando su relevancia para la manutención del equilibrio de las relaciones contractuales. Así, en un primer momento será desarrollado el estudio de los principios informadores del contracto, seguido del análisis de su conformación con al teoría de la imprevisión y de la cláusula rebus sic stantibus, precursoras de las cláusulas de exoneración de responsabilidad. El colmo se establece con los principios formadores de los contratos, como el pacta sunt servanta y la comprensión de la verdadera actuación de esta cláusula en la conservación del equilibrio de los contratos.A intenção é demonstrar às partes a efetiva manutenção do equilíbrio contratual, mesmo quando o contrato se prolongar por extenso período de tempo. Uma das técnicas utilizadas para alcançar estes objetivos é a aplicação de cláusulas revisionais e exoneratórias de responsabilidade, que possibilitam às partes contratantes, reavaliar as obrigações contraídas e suas condições de execução, na ocorrência de fatos que modifiquem, substancialmente, as circunstâncias iniciais do contrato, alterando o seu equilíbrio de forma que seu o cumprimento se torne impossível ou extremamente oneroso. O estudo tem como objeto a cláusula secular do princípio do pacta sunt servanda e desemboca na sua estruturação prática do contrato, tornando seu estudo, incontestavelmente, importante e complexo. Busca-se traçar o perfil dessa cláusula e a importância de breves apontamentos sobre a cláusula rebus sic stantibus, a teoria da imprevisão e os demais instrumentos jurídicos que lhe serviram de embasamento, demonstrando a sua relevância para a manutenção do equilíbrio das relações contratuais. Assim, num primeiro momento será desenvolvido o estudo dos princípios informadores do contrato, seguido da análise de sua conformação com a teoria da imprevisão e da cláusula rebus sic stantibus, precursoras das cláusulas exoneratórias de responsabilidade.
