Good hospital governance: planned adjustments for results in improving public care for patients

Resumo: Good Corporate Governance practices convert principles into objective recommendations, aligning interests with the purpose of preserving and optimizing the value of the organization, facilitating its access to resources and contributing to its longevity. Public institutions, similar to privately owned companies, have, in recent decades, sought mechanisms capable of reinventing and modernizing their management models. According to the Code of Best Corporate Governance Practices of the Brazilian Institute of Corporate Governance (IBGC), the principles and practices of good corporate governance apply to any type of organization, regardless of size, legal nature or type of control. Among these organizations, hospitals are increasingly looking for marketing innovations to serve their clients quickly and effectively, and so need the corporate knowledge of their executives or managers. The objective was to identify the improvements that Management with Governance (Corporate) provided to the Hospital das Clínicas de São Paulo. In this study we used the Case Study method with participant research. The results of the research permeated towards a standardization based on the good practices of Corporate Governance, aiming at process improvements, organizational climate, transparency and accountability of the hospital to the Government of São Paulo. The use of good practices in corporate governance in hospitals is justified because it is a management and safety instrument for all stakeholders, aims to be a tool that fosters the safety of management acts, corporate legal risk, stakeholder relations, between these and the patient. Good governance in public health presents itself as a pressing and irreversible need, professionalizing the management of the organization and providing security to business and patient health. As this is a case study, the results cannot be generalized, even though the case studied is relevant and significant.

Las instituciones públicas, similares a las empresas privadas, en las últimas décadas han buscado mecanismos capaces de reinventar y modernizar sus modelos de gestión. De acuerdo con el Código de Mejores Prácticas de Gobierno Corporativo del Instituto Brasileño de Gobierno Corporativo (IBGC), los principios y prácticas de buen gobierno corporativo se aplican a cualquier tipo de organización, independientemente de su tamaño, naturaleza legal o tipo de control. Entre estas organizaciones, los hospitales buscan cada vez más innovaciones de marketing para atender a sus clientes de manera rápida y efectiva, por lo que necesitan el conocimiento corporativo de sus ejecutivos o gerentes. El objetivo fue identificar las mejoras que la Gestión con Gobierno (Corporativo) proporcionó al Hospital das Clínicas de São Paulo. En este estudio, utilizamos el método de Estudio de caso con investigación participante. Los resultados de la investigación permearon hacia una estandarización basada en las buenas prácticas de Gobierno Corporativo, con el objetivo de mejorar los procesos, el clima organizacional, la transparencia y la responsabilidad del hospital ante el Gobierno de São Paulo. El uso de buenas prácticas en el gobierno corporativo en los hospitales está justificado porque es un instrumento de gestión y seguridad para todas las partes interesadas, pretende ser una herramienta que fomente la seguridad de los actos de gestión, el riesgo legal corporativo, las relaciones con las partes interesadas, entre estos y el paciente. El buen gobierno en salud pública se presenta como una necesidad apremiante e irreversible, profesionalizando la gestión de la organización y brindando seguridad a las empresas y la salud del paciente. Como este es un estudio de caso, los resultados no pueden generalizarse, aunque el caso estudiado sea relevante y significativo.As boas práticas em Governança Corporativa convertem princípios em recomendações objetivas, alinhando interesses com a finalidade de preservar e otimizar o valor da organização, facilitando seu acesso a recursos e contribuindo para sua longevidade. As instituições públicas, semelhante às empresas de iniciativa privada, têm nas últimas décadas, buscado mecanismos capazes de reinventar e modernizar seus modelos de gestão. Segundo o Código de Melhores Práticas de Governança Corporativa do Instituto Brasileiro de Governança Corporativa (IBGC), os princípios e práticas da boa Governança Corporativa aplicam-se a qualquer tipo de organização, independente do porte, natureza jurídica ou tipo de controle. Dentre essas organizações os hospitais estão cada vez mais buscando inovações mercadológicas para atender seus clientes de uma forma rápida e eficaz, e assim necessitam do conhecimento corporativo de seus executivos ou administradores. Objetivou-se identificar quais foram as melhorias que a Gestão com Governança (Corporativa) proporcionou ao Hospital das Clínicas de São Paulo. Utilizou-se neste estudo o método de Estudo de Caso com pesquisa participante. Os resultados da pesquisa permearam no sentido de uma padronização pautada nas boas práticas da Governança Corporativa, visando melhorias de processos, clima organizacional, transparência e prestação de contas do hospital ao Governo de São Paulo. O uso das boas práticas em governança corporativa em hospitais se justifica, porque, ela é um instrumento de gestão e segurança para todos os interessados, visa ser um instrumento fomentador da segurança dos atos de gestão, do risco jurídico corporativo, da relação dos stakeholders, entre estes e o paciente. Uma boa governança na saúde pública se apresenta como uma necessidade premente e irreversível, profissionalizando a gestão da organização e dando segurança aos negócios e à saúde dos pacientes.
