Smart contracts: the law in the blockchain era

Resumo: One of the great innovations brought about by the use of Blockchain technology is smart contracts, in which the parties define all clauses that are enforced automatically without the intervention of a third party, not even the judiciary. It causes a big change in the traditional postulates of contract theory such as: Are they really contracts? What if mistakes are made? Impacts on governance and complete contract theory are analyzed in the text, as well as impacts on classical contract law, especially considering the perspective of neoconstitutionalism. From this last point of view, such contracts are seen as a new paradigm for the adjustment of wills, affecting the idea of depersonalization of civil law, under analysis by the Economic Theory of Law. Using bibliographic research as a methodology, it follows that smart contracts can be considered contracts in light of the Brazilian legal system, although they have a huge potential for disruption of traditional contract theory.

En ellos, las partes definen todas las cláusulas que se ejecutan automáticamente, sin la intervención de un tercero, ni siquiera el Poder Judicial. Esto provoca grandes cambios en los postulados tradicionales de la teoría contractual y cuestiones tales como: ¿Realmente son contratos? ¿Y si se cometen errores? Los impactos en la gobernanza y la teoría de los contratos completos se analizan en el texto, así como los impactos en el derecho contractual clásico y desde la perspectiva del neoconstitucionalismo. Desde esta última perspectiva, tales contratos se conciben como un nuevo paradigma para el ajuste de voluntades, afectando la idea de despersonalización del derecho civil, en un análisis comparado por la Teoría Económica del Derecho. Utilizando la investigación bibliográfica como metodología, se concluye que los smarts contracts pueden considerarse contratos a la luz del sistema jurídico brasileño, tienen un enorme potencial para la disrupción de la teoría tradicional de los contratos.Umas das grandes inovações trazidas pelo uso da tecnologia Blockchain são os smart contracts. Neles, as partes definem todas as cláusulas que são executadas automaticamente, sem a intervenção de uma terceira parte, nem mesmo o Judiciário. Isso provoca grande mudança nos postulados tradicionais da teoria contratual e perguntas como: São realmente contratos? E se erros forem cometidos? Os impactos sobre governança e teoria dos contratos completos são analisados no texto, bem como os impactos no direito contratual clássico e sob a ótica do neoconstitucionalismo. Sob este último prisma, vislumbra-se tais contratos como novo paradigma para o ajuste de vontades, afetando a ideia de despersonalização do direito civil, em análise cotejada pela Teoria Econômica do Direito.
