Resumo: | Objetivo: Este estudo investiga até que ponto uma disseminação na responsabilidade social corporativa (RSC) pode influenciar o resultado de fusões e aquisições motivadas pela RSC. A pesquisa indica que os adquirentes de baixo RSC experimentarão resultados favoráveis ao adquirir uma meta de alto RSC. Para identificar os efeitos de tal disseminação sobre todos os parceiros de aquisição, nosso estudo investiga o impacto sobre uma meta de alto RSC. Metodologia: Escolhemos nos concentrar na reputação corporativa baseada no client para medir os efeitos de diferentes graus de propagação da RSC, porque a reputação foi fortemente influenciada pelo desempenho da RSC. Em nossa abordagem de pesquisa causal, foi realizada uma pesquisa com um controle, um grupo de tratamento e medimos os efeitos moderadores da familiaridade, o próprio apoio à RSC e o histórico cultural. Descobertas: Nossas descobertas demonstraram que as aquisições poderiam resultar em reações negativas do cliente quando o alvo tem uma alta pontuação de RSC, e o adquirente tem um desempenho ruim. Quando os parceiros de aquisição mostraram um envolvimento congruente com a RSC, as avaliações do cliente sobre a meta melhoraram ligeiramente. Os efeitos moderadores só foram encontrados em termos de familiaridade. Originalidade: Estas descobertas sugerem que os gerentes precisam incluir o ajuste cultural, e especificamente o desempenho de RSC de ambas as empresas, no processo de due diligence. Além disso, nossos resultados indicam que nem todas as aquisições envolvendo uma meta de RSC elevada resultarão em resultados favoráveis a longo prazo, ao contrário do estado atual da literatura. |

Typically, research indicates that low-CSR acquirers will experience favourable outcomes when acquiring a high-CSR target. To identify the effects of such a spread on all acquisition partners, our study aims to investigate the impact on a high-CSR target. Methodology: We chose to focus on customer-based corporate reputation (CBR) to measure the effects of different degrees of CSR spread as reputation was found to be heavily influenced by CSR performance. Based on our causal research approach, an experiment with one control and one treatment group was conducted. Further, we measured moderating effects of familiarity, own CSR support and cultural background. Findings: Our findings demonstrated that acquisitions with a high CSR spread could result in negative customer reactions under certain conditions. When the acquisition partners showed congruent CSR engagement, customer’s evaluations of the target improved slightly. Moderating effects were only found in terms of familiarity. Originality: These findings suggest that managers need to include the CSR performance of both companies, in the due diligence process before an acquisition. Furthermore, our results indicate that not all acquisitions involving a high CSR target will result in favourable long-term outcomes, as opposed to the current state of literature.engmergers and Para identificar os efeitos de tal disseminação sobre todos os parceiros de aquisição, nosso estudo investiga o impacto sobre uma meta de alto RSC. Metodologia: Escolhemos nos concentrar na reputação corporativa baseada no client para medir os efeitos de diferentes graus de propagação da RSC, porque a reputação foi fortemente influenciada pelo desempenho da RSC. Em nossa abordagem de pesquisa causal, foi realizada uma pesquisa com um controle, um grupo de tratamento e medimos os efeitos moderadores da familiaridade, o próprio apoio à RSC e o histórico cultural. Descobertas: Nossas descobertas demonstraram que as aquisições poderiam resultar em reações negativas do cliente quando o alvo tem uma alta pontuação de RSC, e o adquirente tem um desempenho ruim. Quando os parceiros de aquisição mostraram um envolvimento congruente com a RSC, as avaliações do cliente sobre a meta melhoraram ligeiramente. Os efeitos moderadores só foram encontrados em termos de familiaridade. Originalidade: Estas descobertas sugerem que os gerentes precisam incluir o ajuste cultural, e especificamente o desempenho de RSC de ambas as empresas, no processo de due diligence. Além disso, nossos resultados indicam que nem todas as aquisições envolvendo uma meta de RSC elevada resultarão em resultados favoráveis a longo prazo, ao contrário do estado atual da literatura. |
