COMPANY’S ACQUISITION AS A FACTOR OF CHANGE ON THE MANAGEMENT CONTROL SYSTEM: A STRATEGIC ANALYSIS FROM THE PERSPECTIVE OF THE CONTINGENCY THEORY

Resumo: A great number of merger and acquisitions (M&A) have taken place in Brazil and worldwide, but studies have shown that many of them turn out to be unsuccessful transactions according the value generation principle. The post-acquisition management control system (MCS) has been pointed out in the literature as one of the factors that collaborate for the success of these transactions. Building on an application of the contingency theory to a case study, this paper aims to analyze the effect of the corporate and business strategy on the changes that occurred in the MCS of a company following its acquisition. The results expand the knowledge on the subject, contributing to reducing the research gap in Brazil, i.e. related studies on this topic are still scarce in the country. The analysis supports two major conclusions: (1) changes in the acquired company’s MCS were derived from the new results-oriented strategy introduced by the acquirer with the intent of turning the acquired company into the world leader in its industry within ten years, and (2) the implementation of such strategy implied changes in the MCS – which is currently carried out by a combination of aspects of quality control, cultural control, production control and financial control.

Sin embargo, el sistema de control gerencial (SCG) posterior a la adquisición ha sido apuntado en la literatura como uno de los que contribuyen al éxito de ese tipo de transacción. El objetivo de la investigación descrita en este artículo fue analizar, desde la perspectiva de la teoría de la contingencia, el efecto de la estrategia corporativa y de negocios en los cambios ocurridos en el SCG de una empresa después de su adquisición. El método utilizado fue el estudio de casos. Los resultados observados expanden el conocimiento sobre el tema, lo que contribuye a reducir la laguna de investigación en ese campo en la realidad brasileña, ya que los estudios en este sentido son aún incipientes. El análisis dio lugar a dos conclusiones principales: (1) los cambios en el SCG de la adquirida se derivan de la nueva estrategia orientada a los resultados, introducida por quien la adquirió con la intención de transformar la compañía adquirida el líder mundial del sector en un plazo de diez años; y (2) la implementación de esa estrategia resultó en cambios en el SCG, que se lleva actualmente a cabo por una combinación de los aspectos de control de calidad, control cultural, control de la producción y control financiero.Um grande volume de fusões e aquisições (F&A) vem se processando no Brasil e no mundo, mas pesquisas mostram que muitas delas acabam por não ser bem-sucedidas sob a perspectiva de geração de valor. Não obstante, o sistema de controle gerencial (SCG) pós-aquisição tem sido apontado na literatura como um dos fatores que colaboram para o sucesso desse tipo de transações. O objetivo da pesquisa descrita neste artigo foi analisar, sob a perspectiva da teoria contingencial, o efeito da estratégia corporativa e de negócios nas mudanças que ocorreram no SCG de uma empresa após a sua aquisição. O método utilizado foi o estudo de caso. Os resultados observados expandem o conhecimento sobre o tema, contribuindo para redução da lacuna de pesquisa no Brasil, pois estudos nesse sentido ainda são incipientes.
