Mergers and Acquisitions from the Perspective of Competitive Advantage: the Perdigão Agroindustrial S.A.

Resumo: The organizations interested in new segments of the market can choose strategies of fusion and acquisition. The success of these transactions is normally measured be the expectation of return of the invested capital. This article, however, pondered the results from a manager’s point of view. We understand by result any tangible or intangible effect on the organizational environment and the company’s position facing the market. Thus, we have attempted to answer the following question: did the acquisition of Batavo Frios generate competitive advantage to Perdigão Agroindustrial S.A.? Searching for an answer to the problem, the study has aimed at checking if the process of acquisition has brought competitive advantage while focusing on two phases (i) integration and (ii) acquisition management (assimilation). The case was investigated in 16 branches through interviews (face-to-face and on the telephone), and secondary material. The gathering of data took place in 2006 and 2007. The study was of exploratory nature with a qualitative approach. To the consolidation of data the content analysis technique, especially the theme analysis has proven most appropriate. We can conclude that the acquisition of Batavo Frios has generated relative competitive advantage to Perdigão Agroindustrial S.A.Key-words: Fusions and acquisitions. Competitive Advantage. Resources.

Resources.Las organizaciones que tengan interés en nuevos segmentos de mercado, pueden optar por estrategias de fusión y adquisición. El éxito de esas transacciones es normalmente definido por la expectativa de retorno sobre el capital invertido. Este artículo identificó otra forma de medir los resultados de las adquisiciones a partir de la percepción de los administradores. Definiéndose como resultados, cualquier efecto tangible o intangible en el ambiente organizacional y el posicionamiento de la empresa frente al mercado. Se buscó responder la siguiente cuestión orientadora: ¿la transacción de adquisición de la empresa Batavo Frios generó ventajas competitivas para Perdigão Agroindustrial S.A.? Tratando de encontrar una respuesta para el problema el estudio tuvo como objetivo constatar si el proceso trajo ventajas competitivas, separándolo en dos fases: (i) la integración y (ii) el gerenciamiento de la adquisición (asimilación). El caso fue investigado en diecisiete filiales por medio de entrevistas (cara a cara o por teléfono) y material secundario. La colecta de datos se dio en 2006 y 2007. El estudio fue de carácter exploratorio, con abordaje cualitativo. Para la consolidación de los datos la técnica de análisis de contenido específicamente el análisis temático (BARDIN, 1977)  se mostró más apropiado. Puede concluirse que la operación de adquisición de  Batavo Frios, generó ventajas competitivas relativas para Perdigão Agroindustrial S.A. Palabras-clave: Fusiones y Adquisiciones. O sucesso dessas transações é, normalmente, definido pela expectativa do retorno sobre o capital investido. Este artigo, de outra forma, identificou os resultados da aquisição a partir da percepção dos gestores. Entendendo-se por resultado, qualquer efeito tangível ou intangível no ambiente organizacional e no posicionamento da empresa frente ao mercado. Assim, buscou-se responder a seguinte questão orientadora: a transação de aquisição da Batavo Frios gerou vantagem competitiva para a Perdigão Agroindustrial S.A.? Buscando uma resposta para o problema o estudo objetivou constatar se o processo de aquisição trouxe vantagem competitiva, focando duas fases: (i) a integração, e (ii) o gerenciamento da aquisição (assimilação).
