Resumo: The activities of transnational corporations (TNCs) have come under increasing scrutiny due to their potential environmental, social and human rights impacts. This study explores the emerging concept of ESG criteria and its implications for the legal responsibility of TNCs. The research objectives are threefold: (i) to define and characterize transnational business activities and TNCs; (ii) to delineate the concept of ESG criteria and its legal implementation modalities; (iii) to examine potential grounds for attributing legal responsibility to TNCs based on ESG criteria. The study employs a deductive approach, drawing upon multidisciplinary bibliographic research in the fields of Social Sciences, Sociology, Political Science, Anthropology, History, Accounting, and Business Administration. This research line is inherent to the theme of Business and Human Rights, which is part of the concentration area "Business Law: Structures and Regulation". The objective of this area is to study Business Law within "Research Line 2: Transnational Companies and Regulation", developed within the scope of the Doctoral Program at Nove de Julho University (PPGD-UNINOVE). Key findings: (i) TNCs aim to maximize production, facilitate the flow of goods and services, reduce transaction costs, achieve balance in relationships, comply with established rules, and generate profits. They wield significant influence regardless of nationality, corporate structure, or institutional interests, with notable political implications; (ii) ESG criteria can encompass a reporting framework with varied rules and metrics, considering the dynamic concept of materiality. Legal implementation modalities include voluntary adoption by companies subject to specific procedures (e.g., periodic reporting or submission for rating agency evaluation) or inclusion of specific contractual clauses; (iii) At this stage of development, addressing the issue through Transnational Law and Transnational Private Regulation is challenging due to the risk of marginalizing the State and the internationally recognized human rights system. Attributing legal responsibility to TNCs based on ESG criteria remains possible, even in the absence of a specific treaty, including on Human Rights and Business. Defense can be sought under domestic law, specifically Civil Law, based on subsidiary principles prohibiting contradictory behavior and promoting justice in conjunction with economic efficiency.

Emerge o eixo temático que considera aspectos ambientais, sociais e de governança, com reflexos financeiros, sintetizados pela sigla ESG ou critérios ESG. Verifica-se a hipótese sobre a possibilidade de atribuição de responsabilidade jurídica às ETNs a partir de normas jurídicas relativas à adoção desses critérios. Objetiva-se (i) a identificação do que são as atividades empresariais transnacionais e ETNs; (ii) a delimitação sobre o que são os critérios ESG e a forma de sua adoção jurídica e (iii) possíveis fundamentos para a responsabilidade jurídica de ETNs. Emprega-se método dedutivo, com auxílio de uma pesquisa bibliográfica e multidisciplinar (Ciências Sociais, Sociologia, Ciência Política, Antropologia e História, Ciências Contábeis e Administração). Esta linha de perquirição é inerente ao tema de Empresas e Direitos Humanos, inserido na área de concentração “Direito Empresarial: Estruturas e Regulação”, cujo objeto é o estudo do Direito Empresarial na “Linha de Pesquisa 2: Empresa Transnacional e Regulação”, desenvolvido no âmbito do Programa de Pós-Graduação Stricto Sensu em Direito da Universidade Nove de Julho (PPGD-UNINOVE).Conclui-se que: (i) as ETNs objetivam maximizar a produção, facilitar a circulação de produtos e serviços, reduzir as dificuldades e custos envolvidos nas transações de mercado complexas, atingir o equilíbrio das relações, atender às instituições estabelecidas (“regras do jogo”) e obter lucro, e exerce grande influência, independentemente de sua nacionalidade, composição (formação societária) ou interesse institucional, com impactos políticos relevantes; (ii) critérios ESG podem se referir a uma estrutura de reporte, com regras e métricas variadas, considerada a partir do conceito dinâmico de materialidade, adotada por meio de um instrumento jurídico, como a adesão voluntária por empresas que se submetem a procedimentos específicos (por exemplo, a elaboração e publicação de relatórios periódicos ou à submissão desses para a avaliação por agências de classificação) e ou pelo estabelecimento de uma cláusula específica em contrato; (iii) impossibilidade, ao menos no estágio atual de desenvolvimento do tema, de tratamento a partir do Direito Transnacional e da Regulação Privada Transnacional, sob pena de afastamento da participação do Estado e desconsideração do próprio sistema de direitos humanos preconizado internacionalmente; e possibilidade de atribuição de responsabilidade jurídica a ETNs a partir da adoção de critérios ESG, ainda que inexistente tratado específico, inclusive sobre Direitos Humanos e Empresas (DHE), com possibilidade de implementação por meio de mecanismos de direito interno, no âmbito do Direito Civil, a partir dos critérios subsidiários de proibição ao comportamento contraditório e de justiça conjugada com a eficiência econômica.Submitted by Nadir Basilio (nadirsb@uninove.br) on 2024-08-14T14:36:31Z No. of bitstreams: 1 Daniel Jacomelli Hudler.pdf: 1316500 bytes, checksum: f106ab0c1e8cd4e134035a70d3875edf (MD5)Made available in DSpace on 2024-08-14T14:36:31Z (GMT).
