Resumo: Individual Limited Liability Company – EIRELI was created in Brazil through Law 12.441/2011 and represented an expressive innovation due to the possibility to exercise a business individually, with the benefit of patrimonial segregation of the individual and the company created by him, the EIRELI. The EIRELI can be considered a contractual structure because it´s considered a company, nevertheless part of authors say that it´s a new personalized entity. It´s said about patrimonial protection because it allows the segregation of personal patrimony and the patrimony linked to the business activity. The protection, however, is not immediate, because it demands the fulfillment of several requirements, such as minimum capital, which is very criticized. Also, EIRELI is subject to juridic personality desconsideration, so enterpreuner personal patrimony can be achieved to pay company´s debits

A EIRELI pode ser considerada uma estrutura contratual dado que se configura como uma sociedade, não obstante parte da doutrina entender se tratar de novo ente jurídico personalizado. Discorre-se sobre proteção patrimonial porque tal estrutura admite a separação dos bens pessoais do empreendedor individual daqueles afetados ao exercício da atividade.
