Resumo: This work, developed mainly through bibliographical research, presents the main standard clauses and mechanisms in venture capital shareholders’ agreements (or quotaholders’ agreements, as applicable) as well as the importance of such clauses and mechanisms for the protection of the founder. Venture capital investment consists of a risk investment in companies framed as startups, through a capital contribution to be made by the investor in exchange for an equity stake in the company. Through such venture capital investment, the investor usually becomes part of the startup’s corporate structure, that is, becomes a shareholder in the company. Therefore, it becomes necessary and imperative to regulate the startup’s governance. For this purpose, the founder shall be aware of the standard clauses and mechanisms used in shareholders’ agreements so that it is possible to protect his participation in the company, as well as the company’s business itself in the negotiation of this agreement

O investimento de venture capital consiste em um investimento de risco em empresas enquadradas como startups, por meio de um aporte de capital a ser feito pelo investidor em troca de participação societária na companhia. Mediante tal investimento de venture capital, o investidor, em regra, passa a fazer parte do quadro societário da startup, ou seja, torna-se um acionista da companhia. Dessa forma, passa a ser necessário e imprescindível regular a governança da startup.
