This paper aims to analyze the importance of a sustainable development in the Brazilian stock market, as well as the relevant characteristics and necessary procedures for such development. The proposal is to approach the subject from an analytical perspective of Brazilian legislation on the capital market, particularly new resolutions and laws of the Securities and Exchange Commission (Comissão de Valores Mobiliários), in comparison with foreign legislation and the new changes brought by CVM Resolution No. 59, of December 22, 2021. The difficulty lies, initially, in the fact that the process of a sustainable development is extremely complex, specially when considering that the market demand for more sustainable actions is still very recent, so that not everyone knows how to meet these requirements or even the parameters that can be used. Thus, we have one of the problems to be solved during this paper: what is a sustainable investment? Also, what are the sustainability indices in the stock market and how to measure and regulate sustainability?. In view of the current Brazilian regulation, this paper does not intend to find an absolute solution to solve all the difficulties that smaller companies face during the adaptation process to issue sustainable investments. In fact, the intention is to ease the understanding of such process and propose a critical analysis of the importance of a legislation as a maintenance tool for the stock market to move, little by little, towards a more sustainable development. Finally, the capital market currently plays a great role as an instrument for the development of various spheres of a country. The most relevant example is the capital market of the United States of America, which represents the largest economy in the world. That is, the relevance of the American capital market demonstrates its importance for the country’s evolution, which highlights the need for a concern with sustainable criteria, in all its spheres, increasingly in other countries, such as Brazil.
