Resumo: The following article has as its main purpose to point out the reasons why procedure of the partial dissolution of society were applied in both material and procedural law as long as to discuss their approaches. Legal provisions related to procedure for the partial dissolutions of companies will be analyzed and compared to the current Civil Procedure Code; standing out the issues we understand to be the most important ones and the ones we judge were not acted with brilliance or properly placed into the legal text by the legislator. Moreover, whenever it is possible, we will confront the matters against the Civil Procedure Code, so that we can have a stand if there is incompatibility in the two legal systems. Therefore, we will highlight the subjects we found the legislator was omitted and suggest ways to improve the first approved text of the partial dissolution of society, so that it can be fully and properly used in everyday´s forensics

Feito isto, prosseguiremos para a análise dos dispositivos legais relativos ao procedimento da ação de dissolução parcial de sociedade que constam no atual Código de Processo Civil, apontando as inovações que entendemos como sendo as mais importantes, e destacando quais pontos o legislador não tenha atuado com brilhantismo, por equivocar-se, ou então, não ter colocado de forma adequada o texto legal, e, sempre que possível, iremos traçar um paralelo com o Código Civil, para apontarmos se há ou não alguma incompatibilidade com os textos dos dois ordenamentos jurídicos.
