Resumo: The present thesis intends to study the Merger Control Agreements executed between the Administrative Council for Economic Defense (CADE) and the main players of the Brazilian market, as well as to analyze the process of mergers and acquisitions from an antitrust perspective. The mergers and acquisitions mentioned above refer to those pending the approval from CADE, which will be the scope of this study. First, the structure of the Brazilian Competition Law is examined, covering the history of antitrust in the Brazilian Law, and approaching the concentration acts as well as their discussion by the antitrust agency. Subsequently, a specific examination is made regarding the Merger Control Agreements, describing the competition remedies currently used, as well as their structural and behavioral measures. Furthermore, the practice of Gun Jumping is addressed, including its history, and highlighting its impacts on Brazilian mergers and acquisitions. Finally, the process of mergers and acquisitions is analyzed, including the study of the Merger Control Agreements` precedents in banking operations and the combined roles of CADE and the Central Bank of Brazil

As fusões e aquisições mencionadas, são aquelas que dependem da aprovação do CADE, e que serão o foco do presente trabalho. Analisa-se, primeiramente, a estrutura do Direito Concorrencial Brasileiro, passando pela história do antitruste no ordenamento jurídico brasileiro, observando principalmente os atos de concentração suas análises pelo órgão concorrencial. Posteriormente, é realizada uma análise específica sobre os Acordos em Controle de Concentrações, mencionando os remédios concorrenciais atualmente utilizados, assim como as suas medidas estruturais e comportamentais. Ainda, é abordada a prática do Gun Jumping, passando por sua história, e destacando os seus impactos nas fusões e aquisições brasileiras.
