The inclusion of representations and warranties clauses in shares sale and purchase agreements, particularly in those which involve the indirect transfer of the « target company» as the purpose of the agreement, is of extreme importance in order to safeguard the buyer’s position. As Portuguese contractual practice increasingly imports representations and warranties drafted within the scope of agreements subject to Anglo-saxon Law, it is important to place these clauses within the Portuguese legal framework. The following dissertation aims, precisely, to place the representations and warranties clauses within the Portuguese legal framework, thus defining their ratio, legal nature and the «legal remedies» to which the buyer in the referred Shares Purchase Agreements may be entitled when these clauses are breached.
