This article aims to analyze the Institutes of Compliance and Integrity in the context of corporate governance taking into account the economic analysis of law. It is a bibliographical research of legal works, norms and procedures. Concepts, definitions and understandings of the theme were sought in different studies in order to contextualize the valuation of ethical posture as procedural changes in the corporate scenario as a way to minimize risks for the company and governance. As a result, the importance of implementing Compliance was identified as an instrument in safety and risk prevention. This study contributed to the construction of a theoretical framework on the current debate on Compliance and business integrity as elements of risk mitigation, including financial convictions, in addition to relating the tendency of procedures to be adopted in the corporate environment.
