This work aimed to identify criteria related to the technology transfer process between university-company (UE), involving a federal university in the State of Minas Gerais, and to analyze how such factors influence the performance of the process, to assist managers in planning the technological innovation in the institution and strengthen the transfer flow to the market. Adopt a qualitative approach of a descriptive and analytical nature, through the case study, using documentary research and semi-structured changes. The determining results that the main basic criteria of technology transfer are: reduced staff and high turnover; low disclosure of the university's intellectual property to companies and interaction with the productive sector; lack of patenting policy and specialized sector in search of priority and wording of the patent; institutional bureaucracy; and lack of harmony between the legislation considered by the legal department and the requirements of the new legal framework. Such factors can be adjusted from the institutional policy of University-Company interaction adopted.
